1. Parties and Definitions

1.1 Contracting Parties

  • Platform: Operating entity of VirtuCasa.com
  • Supplier: Legal entity selling Oriental collectibles through the Platform

1.2 Key Definitions

  • “Our Offered”: Platform-owned products (Suppliers prohibited from using this label)
  • “Third-Party Products”: Products listed and sold by Suppliers
  • “Platform Service Fee”: Fixed charges for listing/promotion/transaction facilitation (not sales commissions)

2. Supplier Eligibility

2.1 Mandatory Credentials

3.2 Banned Products

  • CITES-uncertified endangered species products
  • Controversially sourced artifacts (e.g., war loot)
  • Products displaying USDT payment options to Mainland China IPs

5. Logistics & After-Sales

5.1 Logistics Standards

  • Mandatory use of Platform-certified carriers (DHL/EMS/FedEx Artifact Special Line)
  • Tracking numbers must be uploaded to Supplier Dashboard within 12 hours of shipment

6. Tax Compliance

6.1 Tax Liability Statement

  • Suppliers must label products: “Price excludes import taxes, buyer’s responsibility”
  • Platform provides quarterly transaction summaries (non-tax documents)

6.2 Invoice Obligations

  • Orders >€300 require e-invoices with tax IDs (PDF)
  • Orders for Mainland China customers must state “USD Settlement”

7. Intellectual Property

7.1 Infringement Process

  1. First violation: Product removal + warning
  2. Second violation: 30-day account freeze + €2000 bond
  3. Third violation: Permanent termination + legal action

7.2 Burden of Proof Reversal

  • Suppliers bear appraisal costs for authenticity disputes

8. Termination

8.1 Platform Termination Rights

  • Supplier fails to achieve €1000 GMV for 3 consecutive months
  • Supplier circumvents payment restrictions via IP manipulation

8.2 Supplier Exit Process

  • 90-day written notice
  • Clear all pending orders/after-sales
  • Settle outstanding Platform fees

9. Dispute Resolution

9.1 Mandatory Arbitration

  • Non-artifact disputes: Singapore International Arbitration Centre (SIAC)
  • Artifact disputes: London Art Arbitration Court (LAAC)
  • Language: English

Critical Notes:

  • This Agreement supplements the VirtuCasa User Agreement, which prevails in case of conflict
  • Supplier registration constitutes acceptance of all Platform policies

  • “第三方商品”:供應商自行上架銷售的商品
  • “平台服務費”:商品展示/推廣/交易對接的固定費用(非銷售佣金)

二、供應商准入條件

2.1 強制性資質

2.2 禁止准入情形

三、商品管理規範

3.1 上架義務

  • 每件商品必須標註:
    ✓ 材質成分(如「和田玉95%」)
    ✓ 年代鑑定依據(如「碳14檢測報告編號」)
    ✓ 清晰標識「第三方供應商:[公司名稱]」

3.2 嚴格禁止商品

  • 未經CITES認證的瀕危物種製品
  • 爭議來源文物(如戰爭掠奪品)
  • 中國內地IP可見但標註USDT結算的商品

  • 中國內地用戶訂單必須註明「美元結算」字樣

七、知識產權保護

7.1 侵權處理流程

  1. 首次投訴:強制下架商品+警告
  2. 二次侵權:凍結賬戶30日+€2000保證金
  3. 三次侵權:永久終止合作+法律追訴

7.2 舉證責任倒置

  • 涉及真偽爭議時,供應商需承擔鑑定費用

八、協議終止條款

8.1 平台解約權

  • 供應商連續3個月未達€1000交易額
  • 檢測到供應商操控IP規避支付限制

8.2 供應商退出程序

  • 提前90日書面通知
  • 處理完所有未結訂單+售後
  • 繳清未付平台服務費

九、爭議解決

9.1 強制性仲裁條款:

  • 非藝術品爭議:新加坡國際仲裁中心(SIAC)
  • 藝術品爭議:倫敦藝術品仲裁委員會(LAAC)
  • 仲裁語言:英語

  • 本協議為《VirtuCasa用戶協議》的補充法律文件,衝突條款以用戶協議為準
  • 供應商入駐即代表接受平台所有公開政策
